Agreement

These terms govern use of Holdfast, a vendor-contract notice-window tracker. By creating a workspace you agree to them. If you are using Holdfast for a company, you represent that you have authority to bind that company.

The product

Holdfast calculates action dates from data you enter (renewal dates, notice periods, spend) and drafts operational letters. It does not send legal notices, effect cancellation, provide legal advice, or guarantee that a vendor will accept a notice. You are responsible for confirming terms against the signed agreement and for actually delivering notice.

Accounts

You must provide accurate account information and keep credentials confidential. You are responsible for activity on your workspace. We may suspend accounts that abuse the service, scrape other customers, or attempt to access data that is not theirs.

Acceptable use

Do not use Holdfast to store payment card data, to impersonate another party in a legal proceeding, to spam vendors, or to violate law. Do not reverse engineer the service except as allowed by law.

Fees

Paid plans are billed in advance through Stripe. Setup is $299 one-time. Desk and Firm are subscriptions. Failure to pay may result in downgrade to Free at period end.

Disclaimer

THE SERVICE IS PROVIDED “AS IS.” WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE EXTENT PERMITTED BY LAW. We do not warrant that action dates are legally correct for your contract.

Limitation of liability

To the extent permitted by law, Holdfast and its operator are not liable for indirect, incidental, or consequential damages, including a missed cancellation window or an auto-renewed contract. Direct damages are limited to the fees you paid in the three months before the claim.

Termination

You may stop using the service at any time. We may terminate for material breach. Upon termination, we may delete workspace data after a reasonable retention window described in the privacy policy.
